Digital Signature Certificates for Foreign Nationals & NRIs: Incorporating in India

Why This Matters

Foreign Direct Investment and company incorporation in India legally require foreign directors to sign documents electronically. Navigating apostille and verification rules prevents prolonged delays.

As foreign direct investment (FDI) into India accelerates, overseas corporations and Non-Resident Indians (NRIs) frequently incorporate Indian subsidiaries or acquire domestic equity. Under Indian corporate law, all directors—regardless of nationality or physical residence—must sign statutory incorporation filings (SPICe+), Director Identification Number (DIN) applications, and Reserve Bank of India (RBI) FIRMS portal reporting using a valid Class 3 Digital Signature Certificate.

1. Document & Attestation Protocols for Foreign Nationals

Unlike Indian citizens who can utilize Aadhaar e-KYC, foreign nationals must adhere to strict document legalization requirements:

  • Identity Proof: Color scan of a valid international passport.
  • Address Proof: Driving license, bank statement, or utility bill showing the overseas residential address (dated within the last 3 months).
  • Attestation Rules: If the applicant resides in a Hague Apostille Convention member country (e.g., US, UK, Germany, France), documents must be officially Apostilled. If residing in a non-Hague nation (e.g., UAE), documents must be consularized by the Indian Embassy or High Commission.

2. Remote Video Verification for Global Applicants

Foreign applicants do not need to travel to India. The certifying authority conducts verification through an online video portal. The applicant displays their original apostilled passport, confirms their personal identity, and states the dynamic authorization code displayed on the screen. The process takes less than 2 minutes from any smartphone or computer.

3. Hardware Token Dispatch & Authorized Custody

Once approved, the digital certificate is downloaded onto a FIPS-certified USB cryptographic token. The physical token can be couriered internationally via DHL/FedEx or legally held in India by an authorized Chartered Accountant or Company Secretary to execute timely annual compliance filings.
